Memorandum of Association

Computer Hardware Association of Pakistan

  1. The name of the association is “Computer Hardware Association of Pakistan”.
  2. The registered head office of the association will be situated at Mezzanine A1, Muzaffar Chambers Plaza, Fazal-ul-Haque Road, Blue Area, Islamabad in Islamabad Capital Territory (Pakistan). Besides, association may have Branch Offices at other places in the country, as it may decide in a General Meeting.
  3. The objects for which the association is established, are as follows:

    i. To promote the business relations of importers, exporters, distributors, wholesellers, manufacturers, retailors and vendors of computer industry.
    ii. To aid and stimulate the growth and development of importers, exporters, distributors, wholesellers, manufacturers, retailors and vendors of computer industry.
    iii. To collaborate with governmental, non-governmental, and international authorities for the betterment and growth of the computer sector in Pakistan.
    iv. To promote the advancement of the computer industry in Pakistan and to encourage research and innovation in the field, ensuring that the results are shared for the benefit of the computer and information technology industry and for the benefit of public at large.
    v. To represent and communicate the views and challenges of individuals and businesses engaged in the computer hardware profession to legislative and public bodies.
    vi.To provide a national platform through which the legislative voice of the computer industry in Pakistan may be heard and to advocate for policies conducive to the industry’s growth.
    vii. To encourage and establishment of the highest standards in the import, manufacturing, assembling, and distribution of computer hardware in Pakistan and to establish suitable standards of education, training, and professional development in computer hardware and related fields.
    viii. To disseminate information to members and stakeholders on matters affecting the computer industry, including technological advancements, market trends, and regulatory updates, and to publish material in support of this objective.
    ix. To promote and enhance, by all lawful means and in the public interest, the delivery of high-quality computer hardware products and services by members of the association.
    x. To publish reports, journals, white papers, and other material in support of the association’s objectives and to create awareness of the importance of computer industry in the country’s digital transformation.
    xi. To encourage the study and improvement of practices in the computer industry, including fostering technological adoption and innovation.
    xii. To provide a neutral, non-partisan, non-sectarian platform for the development and welfare of professionals and businesses engaged in the computer hardware industry.
    xiii. To serve as a national resource center, offering education, training, awareness, and capacity-building programs to promote knowledge-sharing and professional development.
    xiv. To establish linkages among organizations, businesses, government entities, and the media to foster collaboration and communication, including the use of electronic media such as websites, TV, and radio for reliable dissemination of information.
    xv. To mobilize resources and facilitate funding opportunities for the association and its members to advance the objectives of the association.
    xvi. To cover all expenses incurred for the establishment, registration, and operations of the association from its funds and sponsorships.
    xvii. To establish, where necessary, regional branches and offices of the association to extend its reach and services across the country.
    xviii.To advocate and promote objectives that are not inconsistent with the public interest for the benefit of the computer hardware industry in Pakistan.
    xix.To do all such other lawful acts and activities necessary for the furtherance of the objectives of the association

  4. In order to achieve its object, the association shall exercise the following powers:
    i. To appeal, solicit or accept contributions, donations, grants and gifts, in cash or in kind, from lawful sources and to apply the same or income thereof for the objects of the association.
    ii. To open and operate bank accounts in the name of the association and to draw, make, accept, endorse, execute and issue promissory notes, bills, cheques and other instruments.
    iii. To acquire, alter, improve, charge, take on lease, exchange, hire, sell, let or otherwise dispose of any movable or immovable property and any rights and privileges whatsoever for any of the objects or purposes specified herein above. Provided that the association shall not undertake the business of real estate or housing schemes.
    iv. To borrow or raise money, with or without security, required for the purposes of the company upon such terms and in such manner as may be determined by the association for the promotion of its objects.
    v. To mortgage the assets of the company and / or render guarantee for the performance   of   any   contract   made, discharge   of any obligation incurred or repayment of any moneys borrowed by the company.
    vi.To purchase, sell, exchange, take on lease, hire or otherwise acquire lands, construct, maintain or alter any building and any other moveable or immovable properties or any right or privileges necessary or convenient for the use and purposes of the association.
    vii.To nominate delegates and advisors to represent the company at conferences, government bodies and other gatherings.
    viii. To co-operate with other charitable trusts, societies, associations, institutions or companies formed for all or any of these objects and statutory authorities operating for similar purposes and to exchange information and advice with them.
    ix.To pay out of the funds of the company the costs, charges and expenses of and incidental to the formation and registration of the association.
    x. To invest the surplus moneys of the company not immediately required, in such a manner as may from time to time be determined by the association.
    xi.To create, establish, administer and manage funds including endowment fund conducive for the promotion of the objects of the association.
    xii.To enter into agreements, contracts and arrangements with organizations, institutions, bodies and individuals for the purpose of carrying out the functions and activities of the association.
    xiii. To take such actions as are considered necessary to raise the status or to promote the efficiency of the association.
    xiv.To conduct, hold and arrange symposia, seminars, conferences, lectures, workshops and dialogue and to print, publish and prepare journals, magazines, books, circulars, reports, catalogues and other works relating to any of the objects of or to the work done by the company, subject to the permission, if required of the relevant authorities.
    xv.To do all other such lawful acts and things as are incidental or conducive to the attainment of the above objects or any one of them.
  5. The association shall achieve the above said objects subject to the conditions specified in Associations with Charitable and Not for Profit Objects Regulations, 2018 and any additional condition mentioned in the license.
  6. The territories to which the object of the association shall extend are declared to include whole of Pakistan.
  7. The liability of the members is limited.
  8. Every member of the association undertakes that he shall contribute to the assets of the association in the event of its being wound up while he is a member or within one year afterwards, for payment of the debts or liabilities of the association contracted before he ceases to be a member and the costs, charges and expenses of winding up and for adjustment of the rights of the contributories among themselves such amount as may be required but not less then Rs.100,000/- or such other amount as may be notified by the Commission.
  9. In the case of winding up or dissolution of the association, any surplus assets or property, after the satisfaction of all debts and liabilities, shall not be paid or disbursed among the members, but shall be given or transferred to some other association established under section 42 of the Companies Act, 2017, preferably having similar or identical objects to those of the association and with the approval required under the relevant provisions of the Income Tax Ordinance, 2001 and under intimation to the Securities and Exchange Commission of Pakistan.
  10. The income and property of the Computer Hardware Association of Pakistan howsoever derived shall be applied solely towards the promotion of the objects of the Computer Hardware Association of Pakistan as set forth in this Memorandum of Association, and no portion thereof shall be paid or transferred directly or indirectly by way of dividend or bonus or otherwise to the persons who at any time are or have been members of the Computer Hardware Association of Pakistan or to any persons claiming through any of them.
  11. Computer Hardware Association of Pakistan shall not be authorized to amend the basic template of Memorandum. However, it shall be autonomous to make amendments in its Memorandum which are not in violation of any provision of the Act and Rules.
